Organizer Agreement

To register as an organizer on the Platform, you must be at least 18 years of age and have the legal authority to enter into binding contracts. Organizations must be duly formed and in good standing under applicable law.

• You must provide accurate, current, and complete registration information.
• You are responsible for maintaining the confidentiality of your account credentials.
• You may not share your organizer account with third parties or transfer it without prior written consent from Peacemaker Tickets.
• Peacemaker Tickets reserves the right to verify your identity and organization status at any time.
• Accounts found to contain false or misleading information may be suspended or permanently terminated.

All events listed on the Platform must comply with applicable federal, state, and local laws. You are solely responsible for the accuracy, legality, and completeness of your event listings.

• Event descriptions, images, dates, times, venues, and ticket prices must be accurate and kept current.
• You must hold all necessary permits, licenses, and venue agreements before listing an event.
• Events promoting illegal activity, hate speech, or content that violates our Community Standards are strictly prohibited.
• Peacemaker Tickets may remove or modify any listing that violates this Agreement or our content policies without prior notice.
• You must promptly update listings if event details change, including cancellations, postponements, or venue changes.
• Online and hybrid events must provide valid, functional streaming access to all ticket holders.

Peacemaker Tickets charges a platform service fee on each ticket sold through the Platform. Fees are deducted automatically at the time of each transaction.

The cash discount processing fee is redistributed into the Peacemaker Community in support of our nonprofit mission. All fees are subject to change with 30 days' written notice to registered organizers.

Peacemaker Tickets reserves the right to negotiate custom fee arrangements with qualifying nonprofit organizations, high-volume organizers, or strategic partners. Any such arrangement must be confirmed in writing.

Organizer payouts are processed through the PayBright Gateway to your registered bank account. You must complete PayBright onboarding — including business verification, bank account linking, and address confirmation — before any payouts can be issued.

• Payouts are initiated within 3–5 business days following the event date.
• For events with advance ticket sales exceeding 90 days, partial payouts may be available upon request and subject to approval.
• Peacemaker Tickets reserves the right to hold payout funds for up to 30 days following an event in cases of elevated chargeback risk or unresolved disputes.
• You are responsible for all applicable taxes on income received through the Platform. Peacemaker Tickets will issue IRS Form 1099-K where required by law.
• Payout amounts reflect ticket face value less the platform service fee, per-ticket surcharges, and any applicable processing fees.
• Payouts to accounts with incomplete or unverified PayBright onboarding will be held until verification is complete.

You are responsible for establishing and communicating a clear refund policy for your events. Your refund policy must be disclosed to buyers at the time of purchase.

• If you cancel an event, you must issue full refunds to all ticket holders within 5 business days.
• If you postpone an event, buyers must be offered the option of a full refund or transfer to the new date.
• Peacemaker Tickets may, at its discretion, issue refunds on your behalf and deduct the corresponding amounts from future payouts.
• You are liable for all chargebacks arising from your events. A $25 chargeback administration fee applies per disputed transaction.
• Organizers with a chargeback rate exceeding 1% of monthly transaction volume may have their account suspended pending review.
• Platform service fees and surcharges are non-refundable except in cases of event cancellation by the organizer.

The following conduct is strictly prohibited and may result in immediate account termination, forfeiture of pending payouts, and legal action:

• Listing fraudulent, fictitious, or misrepresented events.
• Selling tickets for events you do not have the right or authority to host.
• Manipulating ticket pricing, availability, or inventory data.
• Using the Platform to launder money or facilitate illegal financial transactions.
• Circumventing or attempting to circumvent Platform fees or payment processing.
• Harvesting buyer data for purposes outside the scope of your event.
• Engaging in discriminatory practices in ticket sales or event access.
• Interfering with the Platform's technical infrastructure or security systems.
• Creating multiple organizer accounts to evade restrictions or suspensions.

You retain ownership of all content you submit to the Platform, including event descriptions, images, and promotional materials. By submitting content, you grant Peacemaker Tickets a non-exclusive, royalty-free, worldwide license to display, reproduce, and distribute that content solely for the purpose of operating and promoting the Platform.

You represent and warrant that you own or have the necessary rights to all content you submit, and that such content does not infringe the intellectual property rights of any third party. Peacemaker Tickets respects intellectual property rights and will respond to valid DMCA takedown notices in accordance with applicable law.

Peacemaker Tickets collects and processes organizer and buyer data in accordance with our Privacy Policy. As an organizer, you will have access to buyer contact information for the purpose of managing your events.

• You may only use buyer data to communicate about the specific event for which it was collected.
• You may not sell, rent, or share buyer data with third parties without explicit buyer consent.
• You must maintain reasonable security measures to protect any buyer data you access.
• Upon termination of your organizer account, you must delete all buyer data obtained through the Platform.
• You agree to comply with all applicable data protection laws, including CCPA and, where applicable, GDPR.

You agree to indemnify, defend, and hold harmless Peacemaker Tickets, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Platform or breach of this Agreement.
• Your event listings, including any inaccuracies or omissions.
• Any claims by ticket buyers arising from your events.
• Your violation of any applicable law or third-party rights.
• Any content you submit to the Platform.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PEACEMAKER TICKETS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR YOUR USE OF THE PLATFORM.

IN NO EVENT SHALL PEACEMAKER TICKETS' TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE TOTAL PLATFORM FEES PAID BY YOU IN THE THREE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the fullest extent permitted by law.

Either party may terminate this Agreement at any time. You may close your organizer account by contacting us at [email protected]. Peacemaker Tickets may suspend or terminate your account immediately, without notice, for:

• Breach of any provision of this Agreement.
• Fraudulent, deceptive, or illegal activity.
• Repeated or unresolved buyer complaints.
• Excessive chargebacks or payment disputes.
• Any conduct that Peacemaker Tickets determines, in its sole discretion, is harmful to the Platform or its users.

Upon termination, your right to use the Platform ceases immediately. Pending payouts for completed events will be processed in accordance with Section 4, subject to any outstanding disputes, chargebacks, or amounts owed to Peacemaker Tickets. Sections 7–10 and 12 survive termination.

This Agreement is governed by the laws of the State of Colorado, without regard to its conflict of law provisions. Any dispute arising under this Agreement shall first be submitted to good-faith negotiation. If unresolved within 30 days, the dispute shall be submitted to binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, with proceedings conducted in Denver, Colorado.

You waive any right to participate in a class action lawsuit or class-wide arbitration. Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction.

Peacemaker Tickets reserves the right to modify this Agreement at any time. Material changes will be communicated to registered organizers via email at least 30 days before taking effect. Your continued use of the Platform after the effective date of any modification constitutes your acceptance of the revised Agreement.
